【摘要】企业并购是一种企业快速扩张行为,它是企业实现发展的重要战略,但是并购对象选择不慎,并购操作不合理,市场环境的变化,并购整合阶段问题的疏忽等种种因素,都会给并购带来风险。其中财务风险贯穿于整个并购活动的始终,是决定并购是否成功的重要影响因素。本文试对并购前期的决策风险,并购时的操作风险以及并购整合期的财务风险进行分析,并据此提出择偶计、觅金术、支付经、整合案,望能据此降低并购风险,提高效益。

【Abstract】As a fast expansion behavior,M&A (Mergers and Acquisitions) is a important strategic to achieve development for enterprises. However,various factors,such as choosing M&A object inadvertently,Operating unreasonable ,the change of market environment,negligence in Integration phase ,will bring financial risks .And financial risks will throughout the process of M&A. This file will analyze the risks between different period,finally,by finding out the problems in defending and controlling financial risk of M&A,we put forward some constructive advices for managers to reduce the financial risk and raise the benefits in M&A .

研究目的及意义:
本课题借鉴国内外的并购案例,探析企业并购中存在的风险,并提出相应的防范措施,如防范并购前的决策风险、并购时的操作风险以及并购后的支付方式选择风险,以此应用于实际,通过对比借鉴分析,使企业更好地产生扩大经济规模、优化资源配置、提高市场占有率以及向新经济领域渗透等协同效应,把企业迅速做强做大。
